BOARD COMMITTEES We have established the following committees under the Board: an audit committee, a nomination committee, a remuneration committee and a food quality and safety advisory committee. The committees operate in accordance with terms of reference established by the Board. List of Director and their Roles and Functions Executive Directors Mr.Yang Kai(Chairman and Chief Executive Officer) Ms.Ge Kun Mr.So Wing Hoi(Chief Financial Officer) Mr.Xu Guangyi Mr.Kwok Hok Yin Non-Executive Directors Mr.Li Jiaxiang Independent Non-Executive Directors Mr.Song Kungang Mr.Gu Ruixia Mr.Tsui Kei Pang Mr.Kan Yu Leung Audit Committee Primary duties: Propose the appointment or removal of the external auditor of the Company and to review and supervise the independence and objectivity of the external auditors and the effectiveness of the audit process. Mr.Kan Yu Leung（Chairman） Mr.Song Kungang Mr.Tsui Kei Pang Nomination Committee Primary duties: Review the structure, size and composition (including the skills, knowledge and experience) of the Board at least annually and make recommendations on any proposed changes to the Board to complement our corporate strategy. Mr.Yang Kai（Chairman） Mr.So Wing Hoi Ms.Ge Kun Mr.Kan Yu Leung Mr.Gu Ruixia Mr.Tsui Kei Pang Remuneration Committee Primary duties: Make recommendations to the Board on our policy and structure for all Directors' and senior management remuneration and on the establishment of a formal and transparent procedure for developing remuneration policy. Mr.Kan Yu Leung（Chairman） Ms.Ge Kun Mr.So Wing Hoi Mr.Gu Ruixia Mr.Tsui Kei Pang Food Quality and Safety Advisory Committee Primary duties: Establish a comprehensive and effective quality control system; to review and assess the overall hygienic condition of our food products at least twice a year or as and when required and monitor the internal safety measures of the Group towards food production, storage and transportation and to check whether such measures are appropriately in place and compliant with regulations.
